1. Acceptance of Terms

By accessing or browsing the BYM Digital website (https://bymdigital.com) or contracting any of our services, you confirm that you are at least 18 years old and agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy.

2. Services Offered

BYM Digital provides full-stack digital marketing and automation solutions, including but not limited to:

• Official WhatsApp Business API integration, CRM chatbots, and automated follow-up funnels.
• Performance marketing campaigns (Google Ads, Meta Ads, and LinkedIn Lead Gen).
• Custom website design, landing page architecture, and web application development.
• Search engine optimization (SEO), local Mumbai SEO, and analytics setup.

Each client project is executed under an agreed-upon Statement of Work (SOW), invoice, or service proposal detailing scope, timelines, and commercial terms.

3. Client Responsibilities & Fair Usage

• Clients must provide timely assets, brand guidelines, API credentials, and approvals necessary for project completion.
• Clients engaging in WhatsApp marketing agree to comply strictly with Meta's WhatsApp Business Messaging Policies, including anti-spam laws and recipient opt-in verification.
• BYM Digital reserves the right to terminate accounts that attempt to broadcast spam, prohibited products, or unsolicited mass messaging via our platforms.

4. Intellectual Property Rights

All proprietary code, pre-built templates, workflows, frameworks, and designs developed by BYM Digital remain the intellectual property of BYM Digital until final project dues are cleared.

Upon full settlement of invoices, the client receives full ownership rights or perpetual license to use the custom deliverable (website assets, configured campaigns, or specific workflows), excluding third-party libraries and proprietary backend automation scripts.

5. Payment Terms & Billing

• All commercial figures are quoted in Indian National Rupees (INR) or agreed foreign currency, exclusive of applicable GST (18%).
• Setup fees, SaaS subscriptions, and retainer invoices are payable in advance of onboarding or monthly billing cycles.
• WhatsApp messaging charges (Meta conversation fees) are billed per Meta's official rate card or deducted from the client's prepaid wallet balance.

6. Limitation of Liability

While BYM Digital employs industry-standard best practices, digital marketing performance depends on external algorithms, platform policies, audience dynamics, and client-side sales conversion. BYM Digital does not guarantee specific revenue returns or third-party uptime beyond standard Service Level Agreements.

To the maximum extent permitted by applicable law, BYM Digital's aggregate liability for any claims arising out of services rendered shall not exceed the total amount paid by the client for the specific invoice under dispute.

7. Governing Law & Dispute Resolution

These terms and any disputes arising out of or related to our services are governed by and construed in accordance with the laws of India. Any legal dispute shall fall under the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.

8. Amendments & Updates

BYM Digital reserves the right to update these Terms of Service periodically to reflect changes in legal requirements, technology, or service packages. The revised date will always be visible at the top of this document.
